1 Acceptance of Terms

By accessing or using the relai platform and services ("Services"), you agree to be bound by these Terms and Conditions ("Terms"). If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, do not access or use our Services.

2 Description of Services

3 Account Registration & Security

To use the Services, you must create an account. You agree to:

You may not share your account credentials with others outside your subscribed user seats. Each named user must have their own login.

Master Admin accounts hold elevated privileges and can access all tenant data. Secure these credentials with multi-factor authentication where possible.

4 Subscriptions & Payment

relai operates on a subscription model. By subscribing you agree to:

AI usage costs: relai does not mark up AI API usage. When you provide your own API keys (Anthropic, OpenAI, or Google), you are billed directly by those providers under their respective terms. If you use our global AI key, usage is subject to our fair-use policy and the limits stated in your plan.

Refunds: Subscription fees are non-refundable except where required by Malaysian consumer protection law. If you cancel mid-cycle, your access continues until the end of the paid period.

Price changes: We may adjust pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.

5 Acceptable Use

You agree not to use the Services to:

6 Third-Party Services & AI Providers

The Services integrate with third-party platforms and AI providers. Your use of these integrations is also subject to their respective terms:

relai is not responsible for the actions, content, accuracy, or availability of these third-party services. AI-generated responses may be inaccurate, incomplete, or inappropriate — you are responsible for reviewing and approving AI outputs before they reach your customers, particularly when Draft Mode is disabled.

WhatsApp Cloud API: Using the Meta-integrated bridge requires a Meta Business account and approval. Violations of WhatsApp Business Policy may result in your number being banned by Meta, which is outside our control.

7 Data, Privacy & Security

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Regarding data ownership:

You are responsible for obtaining all necessary consents from your customers to collect, store, and process their personal data through our platform, as required under the Malaysian Personal Data Protection Act 2010 (PDPA) and any other applicable law.

8 Intellectual Property

The relai platform, software, branding, and documentation are owned by or licensed to RELAI SOLUTIONS (Registration No. 202603138146 / IP0625990-V) and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable licence to use the Services during your active subscription solely for your internal business purposes.

You may not copy, modify, distribute, sell, or lease any part of the Services, nor reverse-engineer or attempt to extract the source code.

9 Disclaimers & Limitation of Liability

The Services are provided "as is" and "as available" without warranties of any kind. We do not warrant that the Services will be uninterrupted, error-free, or that AI responses will be accurate or appropriate.

To the maximum extent permitted by Malaysian law, relai shall not be liable for:

Our total liability for any claim arising from these Terms or the Services shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.

10 Termination

You may cancel your subscription at any time through the dashboard. Cancellation takes effect at the end of the current billing cycle.

We may suspend or terminate your access immediately and without notice if you:

Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days post-termination, after which it will be permanently deleted. You may request an export of your data during this period.

11 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these Terms or the use of the Services shall be subject to the exclusive jurisdiction of the courts of Malaysia.

12 Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice in the dashboard at least 14 days before the changes take effect.

Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
